Luxottica inicia su proceso de salida de la bolsa italiana
Essilorluxottica arranca el siguen proceso de exclusión de la bolsa italiana. La nueva compañía, nacida de la fusión de Essilor y Luxottica, ha presentado en el mercado de valores de Italia una oferta pública obligatoria de intercambio de las acciones de Luxottica para sacar a la compañía del parqué, según un documento emitido al equivalente italiano de la Comisión Nacional del Mercado de Valores.
La transacción estaba prevista tras el proceso de fusión alcanzado por las dos compañías, iniciado en enero de 2017 y finalizado en octubre de 2018. La oferta afecta a unos 176,2 millones de acciones ordinarias de Luxottica, equivalentes al 36,33% del capital. La operación llevará aparejada la exclusión del grupo italiano del mercado de valores del país transalpino, según Fashion Network.
Los accionistas de Luxottica que participarán en la oferta pública de intercambio recibirán como contraprestación acciones correspondientes a casi el 18,47% del capital social de Essilorluxottica. Desde inicios de octubre, las acciones de Essilorluxottica están cotizando desde el 2 de octubre en el Euronext de París.
El pasado 1 de octubre, la italiana Luxottica, a través de la sociedad Delfin, traspasó sus acciones a Essilor, que cambió su nombre a Essilorluxottica. De este modo, culminó el proceso de unión de Luxottica, uno de los mayores fabricantes de gafas que tiene en su cartera a marcas como Ray-Ban, y Essilor, especializada en la producción de lentes para gafas de vista. La primera reunión del consejo de esta empresa está prevista para el 29 de noviembre.
